Terms of Service
Effective 16 September 2026. These terms apply to the SmartHR web application, the UHRP HR mobile app and the UHRP (Universal HR Platform) service, provided by Clobas ("we").
1. Two kinds of users
Subscribers are organisations that sign up and pay for the service. A subscriber's use is governed by its subscription agreement or order form; where that agreement is silent, these terms apply.
End users are the employees, managers and administrators a subscriber invites. Your access exists because your employer has granted it, and it may be changed or withdrawn by your employer at any time.
2. Your account
- Keep your password and device secure. You are responsible for activity under your login.
- Tell your employer's administrator promptly if you believe your account has been compromised.
- Do not share your login, and do not attempt to access data or functions your role does not permit.
3. Acceptable use
You may not use the service to break the law, to upload malicious code, to probe or overload our systems, to harvest data about other people, or to submit false attendance, expense or leave records. Employers are responsible for the accuracy of the data they enter and for having a lawful basis to process their employees' personal data.
4. Data
Data entered by a subscriber and its users belongs to the subscriber. We process it only to provide the service, as described in our Privacy Policy. Subscribers can export their data at any time and request its deletion when the subscription ends.
5. Availability and support
We aim for continuous availability and give advance notice of planned maintenance where practicable. Support is provided as described on the Support page. Service-level commitments, where offered, are set out in the subscriber's agreement.
6. Mobile app
The UHRP HR app is licensed, not sold, to you for use on devices you own or control, under these terms and the rules of the app store you obtained it from. The app store operator is not a party to these terms and has no obligation to provide support for the app.
7. Intellectual property
The service, its software, design and documentation are owned by Clobas or its licensors. You receive a limited, non-exclusive, non-transferable right to use them for the duration of the subscription. Feedback you give us may be used without obligation.
8. Fees
Fees, billing cycles and taxes are set out in the subscriber's order form. Invoices are payable within the stated period; overdue accounts may be suspended after notice.
9. Warranties and liability
The service is provided with reasonable skill and care. Except as expressly stated in a subscription agreement, it is provided "as is" and we disclaim implied warranties to the extent permitted by law. Statutory calculations (for example provident fund, ESI, professional tax and income-tax deductions) are aids to the employer, who remains responsible for its filings. To the extent permitted by law, our total liability to a subscriber in any twelve-month period is limited to the fees paid for the service in that period, and we are not liable for indirect or consequential loss.
10. Termination
A subscriber may end its subscription as its agreement allows. We may suspend or end access for material breach of these terms after notice, or immediately where the breach threatens the security of the service or other customers. On termination the subscriber may export its data during the wind-down period, after which it is deleted.
11. Governing law
These terms are governed by the laws of India. Disputes are subject to the exclusive jurisdiction of the courts at the place of Clobas's registered office, unless a subscription agreement provides otherwise.
12. Changes and contact
We may update these terms; material changes are notified to subscribers at least 30 days in advance. Questions: development@clobas.com.
